1. Service Description

PaulSpeaks Virtual Office ("Service") is an AI-powered virtual receptionist and phone management service provided by PaulSpeaks Ltd ("we", "our", "us"), a company registered in England and Wales.

The Service provides virtual phone numbers, AI-powered call answering, SMS forwarding, WhatsApp notifications, and related communication management features for businesses and individuals.

2. Accounts and Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for:

• Maintaining the security of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorised use
• Ensuring the information you provide is accurate and up to date

You must be at least 18 years old to use the Service. By creating an account, you represent that you meet this requirement.

3. Free Trial

We offer a 24-hour free trial for all new accounts. During the trial period, you have access to the features of your selected plan. No credit card is required to start a trial.

After the trial expires, you must select and pay for a plan to continue using the Service. If you do not subscribe within 7 days of trial expiry, your virtual number may be released and reassigned.

4. Billing and Payment

Subscription fees are billed in advance on a monthly, quarterly, or annual basis depending on your chosen billing cycle. All prices are listed in British Pounds (GBP) unless otherwise stated.

• Payments are processed securely via Stripe
• Monthly subscriptions renew automatically each month
• Quarterly and annual subscriptions renew at the end of their respective periods
• Usage-based charges (extra minutes, SMS) are billed at the end of each month
• Failed payments will be retried up to 3 times over 7 days
• We reserve the right to suspend your account for non-payment

5. Acceptable Use

You agree to use the Service only for lawful purposes. You must not use the Service to:

• Make or facilitate illegal phone calls or communications
• Harass, threaten, or abuse any person
• Send spam, unsolicited marketing, or bulk messages
• Engage in fraud, impersonation, or deceptive practices
• Violate any applicable local, national, or international law
• Distribute malware or engage in any form of hacking
• Interfere with or disrupt the Service or its infrastructure
• Use the Service for emergency calling (the Service is not a replacement for 999/911)
• Record calls without the consent of all parties where required by law

We reserve the right to suspend or terminate accounts that violate these terms without notice or refund.

6. AI Limitations

The AI receptionist is powered by artificial intelligence and, while highly capable, has inherent limitations:

• The AI is not a human and should not be represented as one to callers in a deceptive manner
• AI responses may occasionally be inaccurate, incomplete, or inappropriate
• The AI may not understand all accents, languages, or complex queries
• We do not guarantee the AI will handle every call perfectly
• The AI should not be relied upon for medical, legal, or emergency advice
• Custom knowledge base responses are only as accurate as the information you provide

You acknowledge these limitations and agree that PaulSpeaks Ltd is not liable for any loss, damage, or inconvenience caused by AI errors or misunderstandings.

7. Phone Numbers

Virtual phone numbers provided through the Service are licensed, not owned, by you. We reserve the right to:

• Reclaim numbers from cancelled or suspended accounts after a 7-day grace period
• Change number availability based on regulatory requirements
• Require identity verification for certain number types or countries

Number portability (transferring your number away from the Service) may be available upon request and subject to applicable fees and regulations.

8. Liability

To the maximum extent permitted by law:

• The Service is provided "as is" and "as available" without warranties of any kind
• We do not guarantee uninterrupted or error-free service
• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not liable for missed calls, failed messages, or AI errors
• We are not responsible for the actions or content of third-party services (Twilio, OpenAI, Stripe)

Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.

9. Cancellation and Refunds

You may cancel your subscription at any time from your account dashboard or by contacting us at hello@paulspeaks.com.

• Cancellation takes effect at the end of your current billing period
• No refunds are issued for partial months, quarters, or years
• Your virtual number(s) will remain active until the end of the billing period
• After cancellation, your number is reserved for 7 days before being released
• You may download your call logs and data before your account is closed

In exceptional circumstances, we may issue refunds at our sole discretion. Contact us to discuss your situation.

10. Intellectual Property

All intellectual property rights in the Service, including software, design, branding, and AI models, are owned by PaulSpeaks Ltd. You are granted a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose.

Content you upload (knowledge base, business information) remains your property. You grant us a licence to use this content solely for the purpose of providing the Service.

11. Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will provide at least 30 days' notice of material changes via email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the new terms.

If you do not agree with the updated terms, you may cancel your subscription before the changes take effect.

12. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Severability

If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these terms shall otherwise remain in full force and effect.
